Terms of Service

1.1 Terms Covered. These Terms of Service govern your access to and use of Bargain Club Shop, including the Bargain Club Shop website, membership portal, product drops, deal alerts, redemption codes, community spaces, Discord access, product listings, purchases, subscriptions, and related services.

1.2 Contracting Party. These Terms are an agreement between you and Knowledge Transfer LLC, a Delaware limited liability company, doing business as Bargain Club Shop.

1.3 Legal Notice Address. Legal notices to Bargain Club Shop or Knowledge Transfer LLC may be sent to:

1.5 Acceptance. By creating an account, purchasing a membership, claiming a deal, redeeming a code, purchasing a product, accessing a drop, participating in the community, or otherwise using the service, you agree to these Terms. If you do not agree, you may not use the service.

1.6 Updates to Terms. We may update these Terms from time to time. Updated Terms will be posted on the website or otherwise made available through the service. Your continued use of the service after updated Terms are posted or delivered means you accept the updated Terms.

2.1 Membership Platform. Bargain Club Shop is a membership-based shopping, deal-access, and community platform. Members may receive access to limited-quantity offers, discounted products, sponsored products, promotional items, product drops, educational content, community resources, and related services.

2.2 Direct Sales. Bargain Club Shop sells products directly to members. Bargain Club Shop may also provide alerts, information, education, and community discussion about products, shopping, ecommerce, resale, sourcing, business setup, and related topics.

2.3 No Guaranteed Results. Membership does not guarantee that you will receive, claim, purchase, or profit from any particular product or deal. Bargain Club Shop does not guarantee any specific item, discount, quantity, resale value, profit opportunity, level of savings, or frequency of offers.

2.4 Informational and Educational Content. Educational and community content is provided for general informational purposes only. Bargain Club Shop does not provide legal, tax, accounting, financial, professional, or resale advice.

3.1 No Lottery or Gambling. Bargain Club Shop offers are not lotteries, raffles, sweepstakes, gambling products, games of chance, or prize promotions. Paying for membership does not buy a chance to win anything.

3.2 Limited-Quantity Drops. Limited-quantity drops may be released by first-come, first-served access, countdown timers, fixed release times, account tenure, verification status, queue position, household limits, claim limits, or other disclosed rules.

3.3 Membership Is Access, Not a Chance to Win. Membership provides access to the platform, alerts, community features, educational resources, and eligibility to participate in available offers, subject to these Terms and the rules of each drop.

3.4 Product-Specific Drop Rules. Each product drop may include product-specific rules on the applicable product detail page. Those product-specific rules are part of these Terms for that drop.

4.1 Initial Membership. Bargain Club Shop initially offers one paid membership at $49 per month.

4.2 Membership Benefits. Bargain Club Shop may offer member benefits, limits, access windows, Discord roles, educational resources, claim rights, product categories, and other features.

4.3 Changes to Benefits. Membership benefits may change over time as the service evolves. We may add, remove, modify, pause, or replace benefits, product categories, drop formats, or community features.

4.4 Eligibility by Status. Some offers may be limited to verified members, members in good standing, or members who satisfy additional eligibility requirements.

4.5 No Inventory Rights. Membership does not create ownership rights in inventory, guaranteed purchase rights, guaranteed product availability, or guaranteed access to any specific product.

5.1 Accurate Information. You must provide accurate, complete, and current account information. You are responsible for keeping your email address, payment method, billing address, shipping address, and other account information accurate and current.

5.2 Minimum Age. You must be at least 18 years old to create an account, purchase a membership, claim a deal, or purchase products through Bargain Club Shop.

5.3 Legal Eligibility. You must be legally able to enter into a binding agreement and use the service in your jurisdiction. The service is available only to United States citizens and lawful United States residents. You may not use the service if doing so would violate applicable law.

5.4 Restricted Jurisdictions. Bargain Club Shop may deny, restrict, suspend, or terminate access for users outside the United States or in states, territories, countries, or other jurisdictions where we determine that legal, subscription, verification, biometric, tax, shipping, consumer-protection, or operational requirements make service impractical or unavailable. Bargain Club Shop does not offer international service access, international shipping, or international payment acceptance.

5.5 Account Security. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must promptly notify us if you believe your account has been compromised.

5.6 One Account. You may not create or use multiple accounts to bypass membership rules, claim limits, bans, fraud checks, verification requirements, drop restrictions, or household limits.

5.7 Account Transfers Prohibited. Accounts, memberships, claims, codes, queue positions, access rights, and membership benefits are personal to the registered user and may not be sold, assigned, transferred, shared, leased, sublicensed, or otherwise provided to another person.

5.8 Prohibited Access Methods. Use of automation bots, VPNs, virtual credit cards, single-use or prepaid cell phone numbers, prepaid debit cards, or other tools or methods used to conceal identity, evade controls, or manipulate access is expressly prohibited. Violation of this section may result in immediate account termination with no refund.

6.1 Verification May Be Required. Bargain Club Shop may require verification before allowing account creation, membership access, product claims, product purchases, high-value purchases, certain payment methods, or access to specific drops.

6.2 Verification Methods. Verification may include email verification, phone verification, payment verification, address verification, identity verification, fraud screening, manual review, or third-party identity checks.

6.3 Stripe KYC. Bargain Club Shop expects to use Stripe or Stripe-supported services for know-your-customer, identity-verification, payment-verification, and related anti-fraud screening. Your use of Stripe-supported verification may be subject to Stripe's own terms, disclosures, privacy policy, and verification flow.

6.4 Enhanced Verification. For purchases of $500 or more, high-risk activity, suspicious activity, or other circumstances determined by Bargain Club Shop, we may require enhanced identity verification. Enhanced verification may include a live selfie, facial comparison, document review, or similar identity-confirmation process performed by Stripe or another third-party provider.

6.5 Separate Consent for Biometric or Live-Selfie Verification. If biometric verification, live-selfie verification, facial comparison, or similar identity screening is required, Bargain Club Shop will require a separate click-through consent before the applicable high-value purchase or verification event. Additional disclosures, consent language, retention terms, and provider-specific terms may apply.

6.6 Refusal or Failure to Verify. If you decline, fail, or do not complete required verification, we may deny, cancel, or limit access to the applicable claim, purchase, membership feature, or account.

6.7 Fraud Review. Bargain Club Shop may deny, cancel, suspend, or review transactions that appear fraudulent, abusive, duplicative, automated, coordinated, inconsistent with drop rules, or inconsistent with the intended use of the service.

7.1 Limit Types. Bargain Club Shop may limit some offers by person, household, verified identity, account, payment method, billing address, shipping address, phone number, email address, device, IP address, or other risk signals.

7.2 Product-Specific Limits. The exact limits may vary by drop. Each deal or drop may contain its own claim rules, quantity limits, eligibility requirements, access windows, and cancellation rules on the applicable product detail page.

7.3 High-Risk Address and Payment Patterns. Bargain Club Shop may prohibit or restrict PO boxes, freight forwarders, package forwarding services, reshippers, virtual mailboxes, temporary addresses, disposable phone numbers, prepaid cards, mismatched billing and shipping details, or other high-risk patterns.

7.4 Cancellation for Limit Violations. We may cancel claims or orders that appear to violate one-per-person, one-per-household, or other drop-specific limits. We may suspend or terminate accounts that attempt to evade limits or manipulate access.

8.1 Drop Methods. Bargain Club Shop may release products or product access through drops, countdown timers, claim windows, queues, redemption codes, product pages, Discord announcements, Discord commands, email alerts, website buttons, or other mechanisms.

8.2 Variable Rules. Drop timing, available quantity, product price, discount, access window, claim rules, eligibility requirements, and purchase instructions may vary by product.

8.3 Product Detail Page Controls. Product-specific drop rules, claim limits, timing, return restrictions, condition notes, source notes, and other special terms will be stated on the applicable product detail page when applicable.

8.4 Claims Are Not Final Until Confirmed. A claim, queue position, redemption code, or checkout attempt is not final unless and until it is confirmed by Bargain Club Shop and, where applicable, payment is successfully completed.

8.5 Redemption Code Restrictions. Redemption codes may be single-use, time-limited, account-bound, non-transferable, product-specific, quantity-limited, and subject to cancellation. Codes may not be shared, sold, transferred, posted publicly, leaked, or used by anyone other than the member to whom the code was issued.

8.6 Revocation. Bargain Club Shop may cancel or revoke any code, claim, queue position, or order that is shared, transferred, sold, leaked, obtained improperly, used improperly, or associated with suspected fraud or abuse.

9.1 Listing Information. Product descriptions, images, MSRP references, retail-price references, discount percentages, savings estimates, condition descriptions, inventory information, shipping estimates, and availability information are provided in good faith but may contain errors, become outdated, or change without notice.

9.2 MSRP and Comparable Value. MSRP, retail price, comparable value, resale value, market value, savings estimates, and discount estimates are informational only. They are not guarantees of value, resale price, profit, demand, liquidity, or actual savings.

9.3 Corrections and Cancellations. Bargain Club Shop may correct errors, cancel orders, adjust listings, change quantities, refuse transactions, or withdraw products where information is inaccurate, inventory is unavailable, a price or quantity error occurred, or fraud/abuse review is required.

9.4 New Items. Where item condition is indicated as "NEW," the product is guaranteed by Bargain Club Shop to be authentic and obtained from an authorized reseller, if applicable.

9.5 Other Item Conditions. Item conditions may also include "SHELF PULLS," "NEVER USED," "NEW OLD STOCK," or similar descriptions. These items may be sourced from third-party resellers and not from the original authorized reseller.

9.6 Source Disclosure. Each listing will clearly state the source of each item where applicable. The buyer is responsible for performing due diligence or requesting clarification before purchase.

9.7 Items Not Sold as New. Items not sold as "NEW" are not guaranteed in any way unless a specific guarantee is stated in the item listing.

10.1 Payment Obligations. You agree to pay all membership fees, product prices, shipping charges, taxes, restocking fees, and other amounts disclosed at checkout, billing, or in the applicable policy.

10.2 Payment Processors. Bargain Club Shop may use third-party payment processors. Your use of a payment method may be subject to additional terms from the payment processor, card network, bank, wallet provider, or other third party. Bargain Club Shop does not accept international payments, non-U.S. payment methods, or payments that we determine are associated with international access or billing activity.

10.3 Payment Problems. Failed payments, reversed payments, disputed payments, suspected payment abuse, payment mismatch, or payment-related fraud signals may result in cancellation of claims, cancellation of orders, suspension of membership benefits, loss of access, or account termination. Any chargeback or payment reversal initiated by a member may result in automatic termination of the member's Bargain Club Shop account and membership, without refund, to the fullest extent permitted by law.

10.4 Refusal or Cancellation Before Fulfillment. Bargain Club Shop may refuse or cancel any transaction before fulfillment if we believe the transaction violates these Terms, violates a drop rule, presents fraud risk, or cannot be completed for operational reasons.

11.1 Automatic Renewal. Membership subscriptions renew automatically unless cancelled before the next billing date. The applicable price, billing frequency, and renewal terms will be disclosed during signup or checkout.

11.2 Online Signup and Cancellation. All subscription signup and cancellation will occur online inside the Bargain Club Shop membership portal.

11.3 Cancellation Effect. You may cancel your membership at any time through the membership portal. Cancellation stops future renewal charges but does not create a prorated refund for the current billing period.

11.4 First Payment Refund. Your first subscription payment may be refunded if you request the refund within the first 30 days after initial signup and you have not redeemed any redemption code. Once you redeem a code, the first subscription payment becomes non-refundable, even if you do not complete a product purchase using that code.

11.5 Later Subscription Payments. After the first subscription payment, membership fees are non-refundable unless Bargain Club Shop states otherwise or applicable law requires otherwise.

11.6 Changes to Pricing or Benefits. Bargain Club Shop may change membership prices, billing terms, or membership benefits with notice where required. Price changes will apply according to the notice provided and applicable law.

12.1 Return Policy Applies. Product purchases are subject to the product return policy, any product-specific return restrictions, the applicable product detail page, and these Terms.

12.2 Return Window. Unless a product listing states otherwise, eligible products may be returned within 30 calendar days from customer receipt.

12.3 Return Eligibility. Unless a product listing states that the item is final sale or otherwise return-restricted, eligible products may be returned subject to approval, inspection, the return window, product condition, serial-number matching, packaging requirements, abuse controls, and applicable law. Products that have been opened but not used may be returnable if they otherwise satisfy the return requirements. Used products are not returnable unless Bargain Club Shop determines that a valid defect claim applies.

12.4 Restocking Fee and Return Shipping. Approved returns are subject to a 20% restocking fee. The buyer is responsible for return shipping costs unless Bargain Club Shop states otherwise or applicable law requires otherwise.

12.5 Final Sale and Restricted Returns. No category is automatically final sale solely because of the category. However, individual listings may state that an item is final sale or subject to restricted returns. This may apply to limited-quantity products, promotional products, clearance products, open-box products, special-order products, time-sensitive products, products with missing packaging, products with mismatched serial numbers, products showing use or damage, or other products identified in the listing.

12.6 Product Defects. Product-defect claims should be submitted to Bargain Club Shop. Bargain Club Shop will handle customer-facing defect issues directly, subject to the return policy, listing terms, manufacturer limitations, inspection, and applicable law. Defective-product warranty coverage applies only to items listed as "NEW." For an eligible defective NEW item, the buyer must first return the product to Bargain Club Shop and prepay return shipping. If Bargain Club Shop determines after inspection that the unit is truly defective and the claim is valid, Bargain Club Shop will refund the buyer for the product and the eligible return-shipping cost.

12.7 Manufacturer Warranties. A product may also be covered by a manufacturer warranty or other third-party warranty where applicable. Bargain Club Shop does not guarantee that any manufacturer warranty applies unless the applicable listing expressly states that it does.

12.8 Return Abuse. Bargain Club Shop may refuse returns, refunds, or exchanges involving fraud, abuse, excessive returns, altered products, missing items, mismatched products, mismatched serial numbers, chargebacks, or violation of these Terms.

13.1 Accurate Shipping Information. You must provide accurate shipping information. Bargain Club Shop ships only to eligible United States addresses and does not ship internationally. Bargain Club Shop may restrict shipping destinations, shipping methods, PO boxes, freight forwarders, reshippers, virtual mailboxes, high-risk addresses, or addresses associated with suspected fraud or abuse.

13.2 Delivery Estimates. Delivery time estimates are estimates only and are not guaranteed delivery dates. Delays may occur because of carrier issues, weather, inventory processing, fraud review, address verification, payment review, or other operational reasons.

13.3 Signature Requirement. Purchases over $100 require an in-person signature on delivery unless Bargain Club Shop waives that requirement in writing or the carrier does not support it for the shipment.

13.4 Shipping Insurance. Bargain Club Shop will purchase shipping insurance where reasonably available and will manage shipping-insurance claims. Bargain Club Shop will not charge the customer a separate shipping-insurance fee.

13.5 Customer Cooperation. You must cooperate with Bargain Club Shop, the carrier, and any insurer in connection with damaged, missing, delayed, or misdelivered packages. This may include providing photos, packaging, affidavits, claim forms, police reports where appropriate, carrier communications, or other information reasonably needed to evaluate or submit a claim.

13.6 Reporting Shipping Issues. You are responsible for monitoring tracking information and promptly reporting missing, delayed, damaged, or misdelivered packages.

13.7 Lost or Damaged Shipment Remedy. If a shipment is lost or damaged in transit and Bargain Club Shop's shipping-insurance claim is approved and paid by the insurer, Bargain Club Shop will refund the customer after Bargain Club Shop receives payment from the insurer. Bargain Club Shop may require customer cooperation, documentation, carrier confirmation, insurer approval, and completion of the insurer's claim process before issuing the refund.

14.1 User Responsibility. You are responsible for any taxes, reporting, licenses, permits, resale obligations, business registrations, marketplace obligations, or other compliance obligations associated with your purchases, resale activity, business activity, or use of products.

14.2 No Professional Advice. Bargain Club Shop does not provide legal, tax, accounting, financial, or resale advice. Educational content about ecommerce, sourcing, resale certificates, business registration, tax matters, or related topics is informational only.

14.3 No Resale Guarantee. Bargain Club Shop does not guarantee that any item can be resold, can be resold profitably, can be listed on any marketplace, will satisfy marketplace rules, or will retain any particular value.

15.1 Community Spaces. Bargain Club Shop may operate community spaces, including Discord channels, forums, chats, comments, announcements, educational sessions, alerts, and member discussions.

15.2 Discord Is Separate from Membership. Discord access is a community feature and is separate from the existence of your Bargain Club Shop website membership. A Discord restriction, mute, removal, or ban does not automatically cancel your paid website membership.

15.3 Community Rules. You must follow these Terms, posted community rules, moderation policies, Discord's rules, and applicable law. Prohibited conduct includes harassment, threats, spam, scams, doxxing, hate speech, impersonation, fraud, sharing private codes, selling access, scraping restricted content, interfering with other members' access, or disrupting the community.

15.4 Moderation. Bargain Club Shop may moderate, remove content, restrict channels, revoke Discord roles, mute users, suspend community access, or ban users from community spaces at its discretion.

15.5 No Refund for Community Restriction. Loss, restriction, or suspension of Discord or community access does not entitle you to a refund unless Bargain Club Shop states otherwise or applicable law requires otherwise.

16.1 User Content. You may submit messages, posts, comments, reviews, screenshots, suggestions, testimonials, product feedback, support requests, and other content.

16.2 License to Bargain Club Shop. You retain ownership of your content, but you grant Bargain Club Shop a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, modify, publish, moderate, remove, and otherwise use your content for operating, improving, documenting, enforcing, and promoting the service.

16.3 Content Restrictions. You may not submit content that is unlawful, infringing, deceptive, defamatory, confidential, private, harmful, abusive, or otherwise inconsistent with these Terms.

16.4 Content Moderation and Preservation. Bargain Club Shop may remove, restrict, or preserve user content as needed to operate the service, enforce rules, investigate abuse, comply with law, or protect Bargain Club Shop and other users.

17.1 General Prohibition. You may not use the service for unlawful, fraudulent, abusive, deceptive, or harmful purposes.

17.2 Platform Abuse. You may not reverse engineer, scrape restricted areas, automate claims, attack the platform, bypass controls, resell accounts, transfer codes, exploit bugs, interfere with the service, or attempt to gain unauthorized access.

17.3 Unfair Access. You may not use bots, scripts, multiple accounts, coordinated claiming, address manipulation, payment manipulation, identity manipulation, fake identities, disposable accounts, VPNs, or other methods to gain unfair access to products, codes, claims, queues, or community spaces.

17.4 Duty to Report Errors. You must promptly report bugs, exploits, mistaken access, mistaken codes, pricing errors, or claim errors rather than exploiting them.

18.1 Suspension or Termination Rights. Bargain Club Shop may suspend, restrict, or terminate accounts for violation of these Terms, suspected fraud, chargebacks, abuse, risk signals, legal compliance, excessive returns, payment issues, or operational necessity.

18.2 Community Conduct. A Discord restriction or ban does not automatically terminate your website membership. However, conduct in a community space may still be considered when determining whether you violated these Terms, committed fraud, threatened users, abused the platform, or created legal or safety risk.

18.3 Cancellation of Pending Rights. Bargain Club Shop may cancel pending claims, orders, codes, queue positions, access rights, or membership features associated with suspended or terminated accounts.

18.4 Survival. Termination does not eliminate obligations that arose before termination, including payment obligations, dispute-resolution obligations, intellectual-property restrictions, limitation-of-liability provisions, indemnity obligations, and other provisions that by their nature should survive.

19.1 Bargain Club Shop Materials. Bargain Club Shop owns or licenses the platform, branding, software, website content, page designs, text, graphics, workflows, product presentation, community materials, educational content, logos, trade names, and related intellectual property.

19.2 Restrictions. You may not copy, sell, redistribute, scrape, reproduce, display, publish, reverse engineer, or commercially exploit Bargain Club Shop content without permission.

19.3 Third-Party Brands. Product trademarks, brand names, images, logos, and third-party materials belong to their respective owners. Bargain Club Shop is not affiliated with third-party brands, manufacturers, retailers, carriers, Discord, or payment processors unless expressly stated.

20.1 Third-Party Providers. Bargain Club Shop may rely on or integrate with third-party services, including payment processors, shipping carriers, identity-verification providers, fraud-screening providers, Discord, hosting providers, analytics providers, email providers, manufacturers, suppliers, and other vendors.

20.2 Third-Party Terms. Third-party services are governed by their own terms and policies. Bargain Club Shop is not responsible for third-party outages, pricing changes, inventory changes, product decisions, account actions, shipping delays, data practices, or content outside Bargain Club Shop's control.

21.1 Privacy Policy. Bargain Club Shop collects and uses personal information as described in its Privacy Policy. The Privacy Policy should be read together with these Terms.

21.2 Transactional Communications. You agree that Bargain Club Shop may send transactional communications about your account, membership, billing, payments, claims, codes, orders, shipping, security, verification, support, policy changes, and community access.

21.3 SMS. Bargain Club Shop does not currently use SMS alerts as a standard service feature. If Bargain Club Shop later offers SMS alerts or text-message communications, separate consent terms may apply.

21.4 Marketing Communications. Marketing communications will be handled under applicable consent and opt-out rules.

22.1 As-Is Service. The service is provided on an "as is" and "as available" basis.

22.2 No Service Guarantees. Bargain Club Shop does not guarantee uninterrupted access, error-free operation, specific deal availability, specific savings, profitability, resale value, market demand, successful claims, successful purchases, or that all listings will be accurate at all times.

22.3 No Professional Advice. Educational and community content is informational only and should not be treated as legal, tax, financial, accounting, business, or professional advice.

22.4 No Financial Gain Guarantee. Bargain Club Shop does not guarantee that using the platform will result in financial gain.

23.1 Excluded Damages. To the fullest extent permitted by law, Bargain Club Shop will not be liable for indirect, incidental, consequential, special, punitive, exemplary, lost-profit, lost-opportunity, resale-loss, market-value, lost-savings, loss-of-use, data-loss, business-interruption, or similar damages.

23.2 Liability Cap. To the fullest extent permitted by law, Bargain Club Shop's total liability for any claim arising from or relating to the service, these Terms, membership, drops, codes, products, orders, community access, or any related transaction will not exceed $100.

23.3 Legal Exceptions. Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

24.1 User Indemnity. You agree to defend, indemnify, and hold harmless Bargain Club Shop, Knowledge Transfer LLC, its owners, managers, employees, contractors, service providers, affiliates, and agents from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your misuse of the service, violation of these Terms, fraud, resale activity, user content, unlawful conduct, tax or resale noncompliance, infringement of third-party rights, or dispute with another user or third party.

25.1 Notice Required. Before starting arbitration, filing a claim, or beginning any formal dispute process, you must first send a written dispute notice to admin@bargainclubshop.com. Unless Bargain Club Shop later designates a different address, support requests, return requests, shipping-claim notices, legal notices, and other customer communications should also be sent to admin@bargainclubshop.com. Customer service may also be contacted by phone at 302 688 0233.

25.2 Notice Contents. Your notice must include your name, account email, a description of the dispute, the relief you are requesting, and any relevant order numbers, claim numbers, screenshots, or supporting information.

25.3 Informal Resolution Period. You and Bargain Club Shop agree to attempt to resolve the dispute informally for 30 days after the dispute notice is received. Formal proceedings may not begin until the 30-day informal-resolution period has ended, unless emergency relief is required or applicable law provides otherwise.

26.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

26.2 Arbitration Agreement. Except for claims that qualify for small claims court or Justice of the Peace Court, disputes arising out of or relating to these Terms, the service, membership, drops, codes, purchases, products, community access, or your relationship with Bargain Club Shop will be resolved by binding arbitration administered by the American Arbitration Association under its applicable consumer arbitration rules, unless another arbitration provider or process is required by applicable law.

26.3 Fees and Costs. Each party will be responsible for its own attorneys' fees and costs, except where these Terms, AAA rules, an arbitrator, or applicable law require otherwise.

26.4 Class and Representative Action Waiver. You and Bargain Club Shop waive the right to bring or participate in any class action, class arbitration, collective action, consolidated action, private attorney general action, or representative proceeding to the fullest extent permitted by law.

26.5 Small Claims and Delaware Justice of the Peace Court. Claims that qualify for small claims court or Delaware Justice of the Peace Court may be brought individually in the Justice of the Peace Court of the State of Delaware, New Castle County, instead of arbitration.

26.6 Court Venue for Non-Arbitrable Claims. For any claim that is not subject to arbitration and is not required to be brought elsewhere, the exclusive jurisdiction and venue will be in the state or federal courts located in Delaware, with preference for the appropriate court in New Castle County where jurisdiction exists.

26.7 Mass Arbitration Procedure. If 25 or more similar arbitration demands are filed against Bargain Club Shop by or with the assistance of the same law firm, group of law firms, organization, coordinated claim administrator, or substantially coordinated representatives, the demands will be treated as a mass arbitration to the fullest extent permitted by law and by the applicable arbitration provider's rules.

26.8 Bellwether Process. In a mass arbitration, the parties agree to use a staged bellwether process unless the arbitration provider requires a different process. The first stage will proceed with up to 10 individual arbitrations selected by the claimants and up to 10 individual arbitrations selected by Bargain Club Shop. All other similar demands will be stayed during the first-stage bellwether proceedings, subject to any contrary requirement imposed by the arbitration provider or applicable law.

26.9 Mediation After Bellwether Proceedings. After the first-stage bellwether proceedings are completed, the parties agree to participate in a good-faith mediation or settlement conference before the remaining demands proceed. If the parties do not resolve the remaining demands, the remaining claims will proceed in staged batches as ordered by the arbitrator, arbitration provider, or court with jurisdiction over arbitration administration issues.

26.10 Individual Claims Only. Nothing in the mass-arbitration procedure authorizes class arbitration, collective arbitration, representative arbitration, or consolidated merits proceedings. Each claimant's claim must be resolved individually unless Bargain Club Shop agrees otherwise in writing.

27.1 Service Changes. Bargain Club Shop may modify, pause, discontinue, replace, or limit parts of the service, including membership pricing, drop formats, claim methods, community features, product categories, suppliers, access rules, eligibility rules, fraud controls, and platform features.

27.2 Experiments and Pilots. Bargain Club Shop may conduct beta tests, limited pilots, experiments, promotional programs, or limited-access releases with different features or rules.

27.3 Temporary Limits. Bargain Club Shop may impose temporary limits to preserve fairness, prevent abuse, address technical issues, respond to inventory constraints, or manage operational risk.

28.1 Entire Agreement. These Terms, together with any policies referenced by them, are the entire agreement between you and Bargain Club Shop regarding the service.

28.2 Severability. If any part of these Terms is found unenforceable, the remaining parts will remain in effect to the fullest extent permitted by law.

28.3 No Waiver. Bargain Club Shop's failure to enforce a provision does not waive its right to enforce that provision later.

28.4 Assignment. You may not assign or transfer your account, membership, claims, codes, rights, or obligations without Bargain Club Shop's written permission. Bargain Club Shop may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, restructuring, change of control, or operation of law.

28.5 Force Majeure. Bargain Club Shop will not be liable for delay or failure to perform caused by events beyond its reasonable control, including carrier delays, supplier issues, outages, labor disruptions, natural disasters, emergencies, cyberattacks, payment-processor issues, government action, or other force majeure events.

28.6 Relationship of the Parties. No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created by these Terms.
